Purpose
The Founding Circle is an invitation-only strategic participation pathway for investors, organizations, and prospective partners interested in supporting the development, commercialization, and broader partnership ecosystem of Onmetrica.
The Founding Circle is not a paid subscription plan. It creates a structured starting point for strategic conversations and the evaluation of potential relationships connected to Onmetrica’s next-generation platform.
This Participation Framework is informational. It does not itself create an investment, partnership, advisory, research, distribution, employment, agency, or other binding commercial relationship.
Who the Founding Circle is For
The Founding Circle may be appropriate for:
• Private and institutional investors
• Strategic and commercial partners
• Technology and artificial-intelligence organizations
• Universities and research institutions
• Mental-health organizations
• Professional associations and networks
• Distribution and implementation partners
• Product-development collaborators
• Strategic advisors and industry leaders
• Other parties capable of contributing to Onmetrica’s development or future market expansion
Participation is considered individually. Booking a meeting or expressing interest does not guarantee an invitation or acceptance.

Founding Circle discussions may explore:
• Investment and capital-development opportunities
• Next-generation product strategy
• Technology and artificial-intelligence integration
• Research and institutional collaboration
• Professional-network development
• Distribution and market-entry relationships

The availability and structure of any opportunity will depend on strategic alignment, due diligence, legal requirements, available resources, and the needs of Onmetrica at the relevant time.
Potential Participation
Subject to invitation, relevance, and availability, Founding Circle participation may include:
• Direct engagement with the founder and selected Onmetrica leadership
• Strategic briefings related to the roadmap and development priorities
• Opportunities to explore investment, commercial, research, integration, and distribution relationships
• Participation in selected ecosystem-development discussions
• Access to relevant product-development updates
• Access to selected, aggregated, and non-confidential insights from non-commercial and commercialization-stage activities
• Consideration for future advisory, partnership, implementation, or strategic opportunities
No particular meeting, opportunity, information, appointment, or commercial relationship is guaranteed.
How the Process Works
The Founding Circle process may include:
1. Introductory Meeting
A prospective participant books or is invited to an initial conversation regarding their background, interests, capabilities, and possible alignment with Onmetrica.
2. Mutual Evaluation
Onmetrica and the prospective participant determine whether there is a credible basis for further discussion.
3. Confidentiality Arrangements
Where sensitive information may be shared, the parties may be asked to accept or sign appropriate confidentiality or non-disclosure terms before receiving detailed non-public materials.
4. Strategic Discussion and Due Diligence
The parties may explore the proposed relationship, contribution, roadmap relevance, legal structure, financial considerations, technical requirements, or other applicable matters.
5. Separate Written Agreement
Any investment, partnership, advisory, research, development, distribution, integration, implementation, or other formal relationship must be documented in a separate written agreement.
No relationship is established merely by participating in meetings or Founding Circle discussions.
No Membership Fee
There is no standard Founding Circle membership fee.
However, a separately developed relationship may involve:
• an investment commitment;
• project or implementation costs;
• advisory compensation;
• licensing or commercial fees;
• research or development funding;
• technology or integration costs; or
• other mutually agreed financial terms.
Any such terms must be addressed through separate documentation.
Confidentiality and Use of Information
High-level introductory discussions may occur before a formal confidentiality agreement is accepted. Onmetrica may limit the information disclosed during those discussions.
Sensitive roadmaps, product materials, financial information, intellectual property, technical information, non-public research, and other confidential materials may be shared only under appropriate confidentiality protections.
Prospective participants may not:
• publish or distribute non-public Onmetrica information;
• use Onmetrica materials for a competing or unauthorized purpose;
• make public statements about a potential relationship without written approval;
• use Onmetrica’s name, logo, trademarks, or branding without permission; or
• represent that an investment or partnership has been approved before a definitive written agreement is executed.
No Automatic Investment, Ownership, or Partnership Rights
Participation in the Founding Circle does not automatically provide:
• equity or ownership;
• shareholder, member, or investor status;
• founder or co-founder status;
• governance or voting rights;
• board or advisory-board appointment;
• profit or revenue participation;
• securities or future securities;
• preferential investment rights;
• exclusivity;
• distribution rights;
• intellectual-property rights;
• employment;
• agency authority;
• guaranteed access to future opportunities; or
• authority to represent Onmetrica or Veret Company, LLC.
The term Founding Circle is the name of a strategic participation pathway. It does not make a participant a legal founder, owner, officer, director, shareholder, partner, employee, or authorized representative of Onmetrica or Veret Company, LLC.
No Securities Offering
Nothing on the Founding Circle page, in this Participation Framework, in an invitation, or in an introductory meeting constitutes:
• an offer to sell securities;
• a solicitation to purchase securities;
• investment advice;
• a promise of financial return; or
• a guarantee that an investment opportunity will be offered.
Any future investment opportunity would be evaluated and presented separately through applicable legal documentation and appropriate regulatory channels.
Separate Agreements and Due Diligence
Any formal relationship remains subject to applicable due diligence, internal approval, professional review, and execution of definitive written agreements.
Depending on the proposed relationship, separate documentation may include:
• a non-disclosure agreement;
• investment documents;
• an advisory agreement;
• a research or institutional collaboration agreement;
• a technology-development agreement;
• a licensing agreement;
• an implementation agreement;
• a distribution or commercial partnership agreement; or
• another agreement appropriate to the relationship.
Neither party is obligated to proceed until a definitive written agreement is executed.
No Exclusivity or Authority
Unless a separate written agreement expressly states otherwise:
• Founding Circle discussions are non-exclusive;
• either party may hold discussions with other organizations or individuals;
• neither party may bind the other;
• no agency, fiduciary, joint-venture, employment, or legal partnership relationship exists; and
• neither party may make commitments or representations on behalf of the other.
Application Access is Separate
Founding Circle participation does not automatically provide:
• an Onmetrica application access code;
• continued application access;
• a Professional Program Membership;
• the Professional Program Member Founding Benefit;
• a lifetime product license; or
• access to confidential Program activities.
Any application access, professional participation, product license, or Program involvement must be addressed separately.
Ending Discussions
Either Onmetrica or the prospective participant may end Founding Circle discussions at any time.
Ending discussions does not create a right to compensation or reimbursement unless a separate written agreement provides otherwise.
Confidentiality, intellectual-property, non-use, and other provisions contained in a separately accepted agreement will continue according to that agreement.
Meeting Request Acknowledgment
By selecting Book a Meeting and submitting the meeting-request form, you:
• authorize Onmetrica to contact you regarding your request;
• confirm that the information you submit is accurate;
• acknowledge that booking a meeting does not guarantee an invitation or relationship; and
• understand that no investment, partnership, ownership, or other legal relationship is created unless established through a separate written agreement.
