Mobile Application Terms of Use

Important Notice

Please read these Mobile Application Terms of Use (“Terms”) carefully.

These Terms constitute a legally binding agreement between you and Veret Company, LLC, a Florida limited liability company doing business as Onmetrica (“Veret,” “Company,” “Onmetrica,” “we,” “us,” or “our”).

By creating an account, entering an access code, checking an acceptance box, downloading, accessing, or using the Onmetrica mobile application, website-based application, or related services, you confirm that:

• you have read and understood these Terms;
• you are legally capable of accepting them;
• you agree to be bound by them; and
• you are at least 18 years old.

If you do not agree to these Terms, do not create an account, access the Program, or use the App.
Onmetrica may retain the version accepted, date and time of acceptance, account identifier, access record, and other reasonable technical evidence of electronic acceptance.

 

1. Company and Scope of These Terms

The Onmetrica application is owned and operated by Veret Company, LLC.

These Terms govern access to and use of:

• the Onmetrica mobile application;
• the Onmetrica website-based application;
• account and access-code functionality;
• reflection, calibration, and evaluation features;
• diagnostic-style Platform tools;
• reports and visualizations;
• professional and invited-user features;
• the Onmetrica Professional Program;
• support and Feedback features; and
• related digital services and materials.

Collectively, these are referred to as the “App,” “Platform,” or “Services.”

These Terms operate together with the:

• Privacy Policy;
• Participation & Feedback Agreement;
• Confidentiality Acknowledgment & Non-Disclosure Terms;
• Intended Use, Regulatory Positioning & User Safety Notice;
• applicable membership or subscription terms;
• professional-use guidelines; and
• any feature-specific terms or notices presented through the Platform.

If a conflict exists, the more specific document will govern the subject it directly addresses.

For example:

• the Privacy Policy governs personal-information processing;
• the Participation & Feedback Agreement governs Program participation and structured Product Feedback;
• the Confidentiality Terms govern non-public Onmetrica information;
• separate participation-level terms govern prices, billing, renewal, and cancellation; and
• these Terms govern general use of the App and Services.

 

2. Definitions

For purposes of these Terms:

2.1 “App” or “Platform”

“App” or “Platform” means the Onmetrica mobile application, website-based application, account features, reports, prompts, dashboards, visual models, calibration features, diagnostic-style tools, evaluation flows, data displays, professional features, and related services.

2.2 “Method”

“Method” means the TenTwo Method and related Onmetrica frameworks, concepts, terminology, calibration processes, visual-mapping logic, evaluation structures, internal-state positioning approaches, interpretation frameworks, materials, and know-how.

2.3 “Program”

“Program” means Onmetrica’s invite-only or limited-access commercial product-development and structured-feedback program.

2.4 “Individual Participant”

“Individual Participant” means an adult who accesses the Platform for personal reflection, calibration, evaluation, Program participation, or through an invitation from an authorized Professional Participant.

2.5 “Professional Participant”

“Professional Participant” means an authorized coach, mentor, consultant, educator, therapist, psychologist, mental-health professional, advisor, reviewer, or other professional accessing the Platform in a professional capacity.

2.6 “Invited User”

“Invited User” means an eligible adult who receives Platform access through an authorized Professional Participant.

2.7 “User Content”

“User Content” means information submitted by or on behalf of a user through the Platform, including responses, reflections, notes, Feedback, and other information entered into the App.

2.8 “Product Feedback”

“Product Feedback” means comments, bug reports, usability observations, feature suggestions, report observations, workflow recommendations, professional observations, or other input specifically concerning Onmetrica, the Platform, or implementation of the Method within the Platform.

 

3. Purpose and Current Intended Use

Onmetrica is an invite-only, early-access software Platform implementing elements of the TenTwo Method.

The Platform is intended to support:
• structured personal reflection;
• emotional-state awareness;
• calibration support;
• organization of self-reported information;
• structured evaluation;
• visual mapping;
• report generation;
• review of Platform-generated outputs;
• authorized interaction between Professional Participants and Invited Users; and
• Product Feedback concerning the Platform and implementation of the Method.

The current Program is intended to improve:

• Platform functionality;
• user interface and user experience;
• calibration workflows;
• diagnostic-style Platform tools;
• reports and visual presentation;
• interpretation clarity;
• professional and invited-user interaction;
• technical performance; and
• implementation of the Method within the Platform.

The Program is a commercial product-development and structured-feedback program. It is not presented as a formal academic, clinical, or scientific research study.

 

4. Eligibility

You may use the App only if:

• you are at least 18 years old;
• you are legally capable of entering into these Terms;
• your use is not prohibited by applicable law;
• you have received any access code or authorization required by Onmetrica; and
• you comply with these Terms and all other applicable Onmetrica agreements.

The App is not intended for minors.

By creating an account or using the App, you represent that the eligibility information you provide is accurate.

Onmetrica may refuse, suspend, restrict, or terminate access where eligibility cannot be confirmed.

 

5. Invite-Only Access and Account Registration

Certain features require:

• an Onmetrica account;
• a unique invite or access code;
• authorization from Onmetrica;
• an invitation from a Professional Participant;
• professional-status verification; or
• acceptance of additional Program terms.

You agree to:

• provide accurate and complete registration information;
• keep your information reasonably current;
• maintain only accounts that you are authorized to use;
• protect your password, access code, and account credentials;
• not share credentials with another person;
• promptly notify Onmetrica of suspected unauthorized access; and
• accept responsibility for activity occurring through your account, except where caused by Onmetrica’s failure to use reasonable security measures.

Access codes and private links are personal, limited, and non-transferable unless Onmetrica expressly states otherwise.

Receiving an access code does not guarantee permanent access or access to every Platform feature.

 

6. Identity, Age, and Professional Verification

Onmetrica may request reasonable information to:

• verify identity;
• verify age eligibility;
• verify professional credentials or status;
• protect account security;
• prevent duplicate or unauthorized accounts;
• administer invite-only access; or
• protect the integrity of the Program.

Verification information may include:

• name and contact information;
• date or confirmation of age eligibility;
• professional title;
• license or credential information;
• professional organization information; or
• Photo ID where reasonably required.

Where identity documents or professional credentials are requested, their collection, use, retention, and deletion will be governed by the Privacy Policy and any notice presented at the point of collection.

Providing false, misleading, altered, or unauthorized verification information may result in access suspension or termination.

 

7. Limited License to Use the App

Subject to your compliance with these Terms, Onmetrica grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use authorized App features during your active access period.

This license is provided only for:

• authorized personal use;
• authorized Program participation;
• authorized professional Program use;
• interaction with an authorized Professional Participant or Invited User;
• review of applicable Platform outputs; and
• submission of Product Feedback.

The App and related materials are licensed, not sold.

No ownership rights are transferred to you.

All rights not expressly granted are reserved by Veret Company, LLC and its licensors.

 

8. Individual Participant Use

An Individual Participant may use authorized features to:

• complete personal reflection and calibration activities;
• enter self-reported information;
• review personal Platform-generated reports and visualizations;
• repeat approved Platform activities;
• discuss applicable outputs with an authorized Professional Participant;
• provide Product Feedback; and
• use other functions made available through the Participant’s account.

Individual Participants may discuss their own personal experiences and information.

However, an Individual Participant may not publicly reproduce, publish, distribute, demonstrate, or share non-public:

• prompts;
• workflows;
• report architecture;
• Platform screens;
• visual models;
• Method explanations;
• access codes;
• private links; or
• other Onmetrica Confidential Information.

 

9. Authorized Professional Program Use

A Professional Participant may use approved Program features with eligible adult Invited Users only to the extent permitted by:

• the Professional Participant’s account;
• the Participation & Feedback Agreement;
• the Confidentiality Terms;
• applicable professional-use guidelines;
• the Platform’s available functionality;
• the professional’s qualifications and scope of practice; and
• applicable law and professional standards.

Authorized activity may include:

• inviting eligible adult users;
• guiding Invited Users through approved Platform activities;
• reviewing an Invited User’s applicable outputs;
• discussing report clarity and reflective interpretation;
• observing interaction with calibration and diagnostic-style tools;
• reviewing repeated Platform outputs;
• identifying usability or implementation issues; and
• providing structured Product Feedback.

Professional Participants may not:

• represent Onmetrica as a validated medical or psychiatric diagnostic system;
• represent the Method or Platform as scientifically or clinically validated unless expressly authorized based on appropriate evidence;
• use Platform outputs as the sole basis for diagnosis, treatment, discharge, medication, involuntary intervention, or another high-impact decision;
• substitute Platform outputs for independent professional judgment;
• exceed professional qualifications or scope of practice;
• guarantee a result;
• publicly reproduce non-public Platform materials;
• teach, certify, sublicense, or independently commercialize the Method;
• use an Invited User’s information for an unauthorized purpose; or
• submit unnecessary directly identifying client information in Product Feedback.

Each Professional Participant remains independently responsible for:

• professional judgment;
• professional qualifications and licensing;
• scope-of-practice compliance;
• obtaining permissions required within the professional relationship;
• client or Invited User confidentiality;
• professional recordkeeping;
• responding appropriately to signs of distress; and
• complying with applicable laws and ethical standards.

Onmetrica does not supervise a Professional Participant’s independent practice and does not assume responsibility for the professional-client, professional-user, coach-client, therapist-client, or other independent relationship.

 

10. No Medical, Diagnostic, or Therapeutic Service

Onmetrica is provided as an early-access software tool for:

• reflection;
• emotional-state awareness;
• calibration support;
• organization of self-reported information;
• product evaluation;
• professional review; and
• Product Feedback.

Onmetrica is not intended to:

• diagnose a medical, psychiatric, psychological, neurological, or behavioral condition;
• detect or rule out a disease or disorder;
• provide a clinical screening result;
• recommend medical or psychiatric treatment;
• prescribe medication;
• select a therapy;
• provide psychotherapy;
• replace licensed healthcare;
• provide clinical decision support;
• monitor a person for safety;
• provide emergency services; or
• guarantee improvement or another particular result.

References to:

• calibration;
• evaluation;
• diagnostic-style tools;
• reports;
• interpretations;
• states;
• patterns; or
• classifications
describe internal reflective, organizational, or Platform functions. They do not mean that the App provides a medical or clinical diagnosis.

The App is not marketed as an FDA-cleared or FDA-approved medical device.

You must not use Platform-generated outputs as definitive medical, psychiatric, clinical, legal, employment, educational, insurance, or other high-impact conclusions.

 

11. Not a Substitute for Qualified Professional Care

The App does not replace:

• licensed mental-health care;
• psychological assessment;
• psychiatric evaluation;
• medical evaluation;
• psychotherapy;
• counseling;
• medication management;
• emergency services; or
• crisis-support services.

A person seeking diagnosis, treatment, therapy, medical guidance, psychiatric care, or another regulated service should contact an appropriately qualified professional.

Use of the App does not create a healthcare-provider relationship between you and Veret Company, LLC.

Any relationship between a Professional Participant and an Invited User exists independently of Onmetrica and is governed by those parties and applicable professional requirements.

 

12. Emotional Reflection and Potential Discomfort

Platform activities may invite you to reflect on:

• emotional experiences;
• relationships;
• prior events;
• present circumstances;
• internal states;
• personal patterns;
• perceived conflicts;
• unmet needs; or
• desired changes.

This reflection may cause temporary:

• discomfort;
• sadness;
• frustration;
• uncertainty;
• emotional sensitivity;
• anxiety;
• fatigue; or
• increased awareness of difficult experiences.

You may:

• pause an activity;
• decline to answer where the Platform permits;
• discontinue a session;
• stop using the App;
• contact an appropriate qualified professional; or
• withdraw from the Program.

Onmetrica does not continuously monitor Participants and may not know when someone is experiencing distress.

 

13. Crisis and Emergency Notice

Onmetrica is not a crisis-response or emergency-monitoring service.

The App does not promise to:

• detect a crisis;
• identify self-harm or suicide risk;
• identify danger to another person;
• continuously monitor entries;
• notify a Professional Participant;
• notify an emergency contact;
• contact emergency services;
• intervene in real time; or
• provide immediate support.

If you are experiencing severe distress, suicidal thoughts, risk of self-harm, risk of harm to another person, a medical emergency, or another urgent condition, stop using the App and immediately contact:

• local emergency services;
• an appropriate crisis-support resource;
• a licensed healthcare professional; or
• another qualified local resource.

In the United States, call or text 988 for the Suicide & Crisis Lifeline or call 911 for an immediate emergency.

Participants outside the United States should use emergency or crisis resources available in their jurisdiction.

 

14. Program and Early-Access Status

The Platform remains under active development.

Program features may:

• contain errors;
• be incomplete;
• operate inconsistently;
• change without advance notice;
• produce different outputs after an update;
• become temporarily unavailable;
• be removed;
• be replaced; or
• require data migration or account reconfiguration.

Onmetrica may:

• add, revise, suspend, or discontinue features;
• change prompts, workflows, visualizations, or reports;
• modify interpretation logic;
• limit access to selected Participants;
• change verification procedures;
• pause the Program;
• reset Program features where reasonably necessary;
• correct errors; or
• terminate early-access availability.

Onmetrica does not guarantee:

• uninterrupted availability;
• preservation of every Program feature;
• permanent access;
• consistency between versions;
• compatibility with every device;
• accuracy for a particular person; or
• availability of a particular report or output.

 

15. Current Program Is Not Formal Research

The current Program is a commercial product-development and structured-feedback program.

Its purpose is to improve:

• App functionality;
• usability;
• reports;
• calibration and diagnostic-style workflows;
• technical performance;
• professional interaction;
• invited-user experience; and
• implementation of the Method within the Platform.

Participation does not establish:

• scientific validation;
• clinical validation;
• diagnostic accuracy;
• treatment efficacy;
• regulatory approval;
• academic endorsement;
• professional certification; or
• generalizability of Program observations.

Any future university, academic, clinical, or scientific study will be governed separately through appropriate documents and procedures, which may include:

• a separate research protocol;
• institutional or ethics review;
• an exemption determination;
• participant information;
• separate informed consent;
• data-use terms;
• publication terms; and
• separate intellectual-property provisions.

Accepting these Terms does not constitute advance consent to participate in a future formal research study.

 

16. Product Feedback

You may choose or be invited to provide Product Feedback concerning:

• functionality;
• usability;
• user experience;
• calibration workflows;
• diagnostic-style tools;
• report presentation;
• interpretation clarity;
• professional and invited-user interaction;
• technical performance;
• feature priorities; or
• implementation of the Method within the Platform.

To the extent Product Feedback is protected by intellectual-property rights, you grant Onmetrica a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to:

• use;
• reproduce;
• analyze;
• adapt;
• modify;
• incorporate; and
• implement

that Product Feedback in Onmetrica products, services, operations, documentation, and development activities.

This permission:

• is a license and not an assignment;
• applies to Platform-specific Product Feedback;
• does not transfer ownership of your personal information;
• does not transfer ownership of a professional’s independently developed materials;
• does not require public attribution;
• does not authorize public identification without separate permission; and
• does not obligate Onmetrica to implement a suggestion.

Unless separately agreed in writing, Product Feedback may be used without compensation, approval rights, or continuing obligations to the Participant.

 

17. Professional Independence

Nothing in these Terms restricts a Professional Participant’s lawful independent professional practice or development, teaching, publication, licensing, or use of:

• pre-existing methodologies;
• independently developed future methodologies;
• clinical or professional approaches;
• educational materials;
• concepts;
• frameworks;
• terminology;
• diagnostic observations;
• professional knowledge;
• professional know-how; or
• other independent professional materials,
provided that the Professional Participant does not use, disclose, reproduce, or derive those materials from Onmetrica Confidential Information.

Providing Product Feedback does not transfer ownership of independently developed professional materials to Onmetrica.

No independent professional idea, recommendation, framework, methodology, or other professional material will be treated as assigned to Onmetrica unless an assignment is expressly stated in a separate written agreement validly accepted by both parties.

Additional provisions concerning Feedback, professional independence, intellectual property, and similarities of concepts appear in the Confidentiality Acknowledgment & Non-Disclosure Terms.

 

18. User Content

You retain your rights in User Content that you submit to the Platform.

You grant Onmetrica a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, format, display to authorized users, and otherwise use

User Content only as reasonably necessary to:

• provide the Services;
• operate your account;
• generate requested reports and outputs;
• support authorized professional and invited-user functionality;
• provide technical support;
• maintain Platform security;
• prevent fraud or misuse;
• comply with legal obligations;
• perform product analytics;
• improve Platform functionality; and
• create aggregated or de-identified information as described in the Privacy Policy.

This license does not transfer ownership of your User Content to Onmetrica.

You represent that:

• you are authorized to submit the User Content;
• the submission does not violate another person’s rights;
• the content is not submitted for an unlawful purpose; and
• you will not knowingly upload malicious code or material designed to interfere with the Platform.
Professional Participants must not submit unnecessary directly identifying client information through Feedback or support channels.

 

19. Aggregated and De-Identified Information

Onmetrica may create aggregated or de-identified information derived from:

• Platform activity;
• technical information;
• User Content;
• Program participation; or
• Product Feedback.

Onmetrica may use properly aggregated or de-identified information for:

• product analytics;
• quality assurance;
• usability evaluation;
• Platform development;
• feature planning;
• internal business analysis;
• improvement of the Method’s implementation;
• professional communications; and
• descriptions of general Program progress.

Onmetrica will not publicly identify you in connection with such information without separate authorization, except where disclosure is legally required.

 

20. Privacy, Health-Related Information, and HIPAA

Use of the App is governed by the Privacy Policy.

Information entered into Onmetrica may include information concerning:

• emotions;
• experiences;
• relationships;
• internal states;
• reflections;
• personal circumstances;
• reports; or
• interaction with a Professional Participant.

Such information may be sensitive personal information or consumer health information even when it is not Protected Health Information under HIPAA.

Veret Company, LLC does not represent that it is a healthcare provider, health plan, healthcare clearinghouse, or HIPAA covered entity solely because it operates the App.

Whether Onmetrica acts as a HIPAA business associate depends on the particular:

• professional or organizational relationship;
• data submitted;
• data flow;
• processing purpose;
• contractual arrangement; and
• applicable legal requirements.

A Professional Participant or organization that is subject to HIPAA must not submit or cause Onmetrica to receive Protected Health Information on behalf of that covered entity unless:

• Onmetrica has expressly authorized that use in writing;
• the intended arrangement has been evaluated;
• any required Business Associate Agreement is in effect; and
• appropriate safeguards have been implemented.

Other privacy, security, breach-notification, consumer-protection, or consumer-health-data laws may apply even when HIPAA does not apply.

 

21. Data Security

Onmetrica uses reasonable administrative, technical, and organizational measures intended to protect information processed through the Platform.
No mobile application, cloud service, electronic transmission, device, or storage environment can be guaranteed to be completely secure.

You are responsible for:

• safeguarding passwords and access codes;
• not sharing accounts;
• securing your device;
• using secure networks where reasonably possible;
• protecting reports displayed or downloaded on your device;
• logging out where appropriate; and
• promptly reporting suspected unauthorized access.

You understand that authorized service providers may process information to provide:

• hosting;
• authentication;
• communications;
• security;
• analytics;
• customer support;
• software development; or
• other Platform operations,

as further described in the Privacy Policy.

 

22. Confidentiality and Non-Public Onmetrica Materials

Your access to non-public Onmetrica information is governed by the Confidentiality Acknowledgment & Non-Disclosure Terms.

Confidential information may include:

• non-public App screens;
• Program features;
• prompts;
• workflows;
• reports;
• visual models;
• access codes;
• Method materials;
• calibration logic;
• diagnostic-style tool structures;
• interpretation logic;
• product briefings;
• Feedback discussions;
• product roadmaps;
• technical materials; and
• other proprietary information.

You may not publicly:

• disclose;
• reproduce;
• publish;
• distribute;
• demonstrate;
• sell;
• license;
• post;
• upload;
• record; or
• otherwise share
such information except as expressly authorized by Onmetrica.

An Individual Participant may discuss the Participant’s own personal experiences and information, but this does not authorize disclosure of proprietary Platform or Method materials.

 

23. Prohibited Conduct

You may not:

• use the App for an unlawful, fraudulent, deceptive, abusive, or harmful purpose;
• misrepresent your identity, age, professional status, or credentials;
• share or sell access codes or credentials;
• access another person’s account without authorization;
• attempt to bypass access, security, or usage restrictions;
• interfere with or disrupt the App;
• introduce malware, malicious code, or automated attacks;
• scrape, harvest, systematically extract, or copy Platform information;
• reverse engineer, decompile, or disassemble the App except where such restriction is prohibited by law;
• reconstruct calibration, report, diagnostic-style, scoring, interpretation, or Method logic;
• use Confidential Information to create or improve a competing or substantially similar product;
• impersonate Onmetrica or an authorized Onmetrica representative;
• represent yourself as certified, licensed, approved, or endorsed by Onmetrica without written authorization;
• use Platform outputs as a definitive medical or clinical conclusion;
• violate the intellectual-property, privacy, confidentiality, or other rights of another person;
• upload content that you are not authorized to submit;
• use the App to harass, threaten, exploit, or harm another person; or
• assist another person in violating these Terms.

 

24. Intellectual Property

The App, Platform, Method, and associated materials are owned by Veret Company, LLC or their respective licensors or rights holders.

Protected materials include:

• the TenTwo Method;
• Onmetrica concepts and terminology;
• calibration processes;
• diagnostic-style workflows;
• visual-mapping logic;
• evaluation structures;
• prompts and questionnaires;
• report architecture;
• visual models;
• interface sequences;
• interpretation structures;
• software;
• algorithms;
• databases;
• technical architecture;
• text;
• graphics;
• designs;
• documentation;
• trademarks;
• trade names;
• logos;
• copyrights;
• patentable inventions;
• trade secrets; and
• related know-how.

Except for the limited license expressly granted in these Terms:

• no ownership interest is transferred;
• no right to reproduce or create derivative materials is granted;
• no right to teach or certify the Method is granted;
• no right to sublicense or commercially distribute the App or Method is granted; and
• no rights are granted by implication, estoppel, exhaustion, or otherwise.

“Onmetrica,” “TenTwo,” associated names, logos, and branding may not be used without prior written authorization.

 

25. Third-Party Services and Links

The App may rely on or provide access to third-party:

• application marketplaces;
• hosting services;
• authentication services;
• analytics services;
• communication services;
• payment services;
• cloud services;
• websites;
• software;
• libraries; or
• integrations.

Third-party services may be governed by their own terms and privacy practices.

Onmetrica is not responsible for third-party services except to the extent required by applicable law or an express agreement.

You must comply with applicable third-party terms when using the App.

The inclusion of a third-party service or link does not necessarily constitute an endorsement.

 

26. App Access, Participation Levels, Payments, and Subscriptions

Unless expressly stated otherwise, downloading the Onmetrica App and obtaining invite-code-based App access are separate from any paid professional participation level, support membership, briefing program, or other website-based service.

Payment for a participation level:

• does not purchase ownership of the App or Method;
• does not purchase an access code;
• does not guarantee permanent App access;
• does not provide equity or investment rights; and
• does not create professional certification or licensing rights.

Separate participation-level or subscription terms govern:

• price;
• billing frequency;
• automatic renewal;
• cancellation;
• included Feedback opportunities;
• professional briefings;
• refunds; and
• other paid benefits.

If Onmetrica later offers purchases through Apple App Store, Google Play, or another marketplace:

• the price and payment terms will be disclosed at the point of purchase;
• marketplace billing and refund rules may apply;
• subscriptions may renew automatically until cancelled as disclosed;
• cancellation generally affects future renewal and does not automatically provide a refund for an elapsed billing period; and
• the user must manage the purchase through the applicable marketplace where required.

Onmetrica may modify prices or paid-service features prospectively, subject to applicable notice and consumer-protection requirements.

 

27. No Investment or Ownership Rights

Downloading the App, participating in the Program, purchasing a participation level, attending a briefing, or joining the Founding Circle is not an investment or securities offering.

Participation does not provide:

• equity;
• Company ownership;
• ownership of the App or Method;
• profit participation;
• voting rights;
• securities;
• future securities;
• financial returns;
• preferential investment rights;
• guaranteed future commercial access;
• professional certification;
• publication rights; or
• ownership of future features.

Any future financing, crowdfunding campaign, or securities offering would be separate and subject to separate documentation and applicable law.

 

28. Account Deletion and Data Requests

You may stop using the App at any time.

Where the App supports account creation, you may initiate account deletion through:

• the account-deletion controls provided within the App; and
• the web-based deletion request method identified in the Privacy Policy, App marketplace listing, or Onmetrica support page.

Deleting the App from your device does not, by itself, delete your account.

When a valid account-deletion request is completed, Onmetrica will delete or de-identify account-associated information as described in the Privacy Policy, subject to information that may be retained for:

• legal compliance;
• fraud and security prevention;
• dispute resolution;
• proof of consent or contractual acceptance;
• financial recordkeeping;
• professional or regulatory obligations;
• temporary backup cycles; or
• other lawful purposes.

Properly aggregated or de-identified information may not be capable of being associated with your account and may be retained.
Account deactivation, access suspension, Program withdrawal, membership cancellation, and account deletion are separate actions.

 

29. Suspension and Termination

Onmetrica may suspend, restrict, or terminate your access if:

• you violate these Terms;
• you violate another applicable Onmetrica agreement;
• you improperly disclose Confidential Information;
• you misuse the Platform;
• you share credentials;
• you create a security or privacy risk;
• required payment is not made under a separate paid service;
• continued access could expose Onmetrica or another person to legal or operational risk;
• termination is required by law or an app marketplace; or
• Onmetrica discontinues the applicable feature or Program.

Where reasonably practicable, Onmetrica may provide notice of termination, but immediate action may be taken in cases involving:

• security threats;
• fraud;
• unauthorized disclosure;
• intellectual-property misuse;
• danger to another person;
• unlawful activity; or
• material breach.

After termination:

• your license to use the App ends;
• you must stop accessing non-public Platform materials;
• access codes and private links may be disabled; and
• confidentiality, intellectual-property, payment, liability, dispute, and other provisions intended to survive will remain in effect.

 

30. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the App and Services are provided:

“AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

Onmetrica disclaims express and implied warranties, including warranties of:

• merchantability;
• fitness for a particular purpose;
• title;
• non-infringement;
• accuracy;
• reliability;
• availability;
• uninterrupted operation;
• error-free operation;
• compatibility;
• data preservation; and
• suitability for professional or personal use.

Onmetrica does not warrant that:

• reports or outputs will be accurate for a particular person;
• repeated outputs will be consistent;
• use will improve emotional or psychological well-being;
• the App will identify a problem;
• a professional will agree with an output;
• the App will meet every user’s expectations;
• defects will be corrected immediately; or
• the App will remain continuously available.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, exclusions apply only to the extent legally permitted.

 

31. Limitation of Liability

To the fullest extent permitted by applicable law, Veret Company, LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including damages arising from:

• loss of data;
• loss of access;
• lost profits;
• business interruption;
• emotional reactions;
• reliance on Platform outputs;
• professional decisions;
• user decisions;
• unauthorized account access;
• third-party services; or
• interruption or discontinuation of the Program.

To the fullest extent permitted by law, Onmetrica is not responsible for:

• decisions made solely or primarily from Platform outputs;
• misuse by a Professional Participant;
• unauthorized professional or clinical use;
• failure to seek qualified care;
• crisis situations;
• emergency needs;
• conduct occurring outside the Platform;
• user-provided inaccurate information; or
• use outside the scope authorized by these Terms.

Except where applicable law requires otherwise, Onmetrica’s aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of:

• the amount paid directly to Onmetrica for the applicable App-related service during the 12 months preceding the event giving rise to the claim; or
• one hundred U.S. dollars.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

 

32. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Veret Company, LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from:

• your material violation of these Terms;
• your unlawful use of the App;
• your infringement of another person’s rights;
• your unauthorized disclosure of Confidential Information;
• your submission of User Content that you were not authorized to provide;
• your misuse of Platform outputs; or
• your unauthorized professional, commercial, diagnostic, or clinical use.

A Professional Participant’s indemnification obligations may also arise from:

• conduct outside the authorized professional Program scope;
• failure to comply with professional licensing or ethical requirements;
• unauthorized submission or disclosure of client information; or
• representations made independently by the Professional Participant concerning Onmetrica.

This section does not require indemnification for claims caused by Onmetrica’s own unlawful conduct where such indemnification is prohibited.

 

33. Additional Terms for Apple App Store Users

If you downloaded the App through Apple’s App Store, the following additional terms apply:

33.1 Parties

These Terms are between you and Veret Company, LLC, not Apple Inc.

Veret Company, LLC, not Apple, is responsible for the App and its content.

33.2 License Scope

Your license is limited to a non-transferable license to use the App on Apple-branded products that you own or control, subject to Apple Media Services terms and any permitted Family Sharing or volume-purchase rules.

33.3 Maintenance and Support

Veret Company, LLC is responsible for providing maintenance and support for the App as required under these Terms or applicable law.

Apple has no obligation to provide maintenance or support.

33.4 Warranties

If the App fails to conform to an applicable warranty that cannot legally be disclaimed, you may notify Apple, and Apple may refund any purchase price paid for the App through the App Store.

To the maximum extent permitted by law, Apple has no other warranty obligation concerning the App.

33.5 Product Claims

Veret Company, LLC, not Apple, is responsible for addressing claims relating to:

• the App;
• possession or use of the App;
• product liability;
• failure to comply with legal or regulatory requirements; or
• consumer-protection or privacy claims.

33.6 Intellectual-Property Claims

If a third party claims that the App or your possession or use of it infringes intellectual-property rights, Veret Company, LLC, not Apple, is responsible for investigating, defending, settling, or discharging the claim, subject to applicable law.

33.7 Legal Compliance

You represent that:

• you are not located in a country subject to a United States government embargo or designated as supporting terrorism; and
• you are not listed on a United States government prohibited or restricted-party list.

33.8 Third-Party Terms

You must comply with applicable third-party terms when using the App, including terms governing your mobile device, wireless-data service, and Apple account.

33.9 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms.
Upon your acceptance, Apple has the right to enforce the Apple-specific provisions against you as a third-party beneficiary.

34. Export Controls and Sanctions

You may not use, export, re-export, transfer, or provide access to the App in violation of applicable:

• United States export-control laws;
• trade sanctions;
• embargoes;
• restricted-party rules; or
• other applicable international trade laws.

You represent that you are not prohibited from receiving the App under applicable trade restrictions.

 

35. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where another law is mandatorily applicable.
Unless another valid dispute-resolution provision applies, disputes arising from or relating to these Terms or the App will be brought in the state or federal courts located in Palm Beach County, Florida.

You and Veret Company, LLC consent to the personal jurisdiction of those courts, unless applicable consumer law requires another forum.

Nothing in this section prevents Onmetrica from seeking temporary or emergency equitable relief from a court with appropriate jurisdiction to prevent actual or threatened:

• misuse of Confidential Information;
• unauthorized access;
• intellectual-property infringement; or
• security harm.

 

36. Changes to These Terms

Onmetrica may update these Terms as:

• the App develops;
• Program features change;
• professional functionality changes;
• business practices change;
• laws or regulations change; or
• app-marketplace requirements change.

For material updates, Onmetrica may:

• provide notice through the App;
• provide notice by email;
• post the updated Terms on the website;
• identify the effective date; or
• request renewed electronic acceptance.

Continued use after updated Terms become effective may constitute acceptance to the extent permitted by law.

An update will not retroactively:

• transfer ownership of a Professional Participant’s independent materials;
• convert Program participation into formal research consent; or
• authorize a materially new use of personal information without any additional notice or consent required by law.

 

37. General Provisions

37.1 Entire Agreement

These Terms and the other incorporated Onmetrica agreements constitute the agreement between you and Onmetrica concerning the App.

37.2 Severability

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent legally permitted, and the remaining provisions will remain effective.

37.3 No Waiver

Failure or delay in enforcing a provision does not waive that provision or another right.

37.4 Assignment

You may not assign or transfer these Terms or your account without Onmetrica’s prior written consent.

Onmetrica may assign these Terms in connection with:

• a merger;
• financing;
• reorganization;
• sale of assets;
• transfer of the Platform or Method; or
• another lawful business transaction.

37.5 No Partnership or Agency

These Terms do not create an employment, partnership, joint venture, agency, fiduciary, supervisory, medical, therapeutic, or other professional relationship between you and Onmetrica.

37.6 Force Majeure

Onmetrica is not responsible for delay or failure caused by events beyond its reasonable control, including:

• natural disasters;
• internet or infrastructure failures;
• cyberattacks;
• government action;
• labor disruption;
• marketplace interruption;
• cloud-service failure; or
• other events that could not reasonably be prevented.

37.7 Headings

Headings are for convenience only and do not limit the meaning of these Terms.

37.8 Survival

Provisions concerning:

• confidentiality;
• intellectual property;
• Feedback;
• User Content permissions;
• payment obligations;
• disclaimers;
• liability;
• indemnification;
• dispute resolution; and
• other provisions that by their nature should survive

will survive account termination or discontinuation of the App.
